PARKSTONE CAMERA CLUB - CONSTITUTION(September 2016)
- 1. NAME
- The club shall be known as ‘PARKSTONE CAMERA CLUB’, herein after referred to as the ‘Club’.
- 2. OBJECTIVES
- The objectives of the Club are:
- (i) To provide a forum for members of the Club to exchange ideas and information.
- (ii)To provide opportunities for members of the Club to develop their photographic skillsand knowledge, regardless of their ability.
- 3. ADMISSION OF MEMBERS
- (i) Membership of the Club shall be open to all.
- (ii)Classes of membership shall be:
- (a) Full member.
- (b) Joint member, meaning spouses, cohabiting couples or parent and child.
- (c) Student member, meaning a member who is under 18 or in full time education.
- (d) Honorary Life member. Such membership may be granted to any person who, in the opinion of the Club members, has rendered outstanding service to the Club.
- (iii) The Club reserves the right to refuse membership and/or expel any member for conduct prejudicial to the Club. Such matters shall be judged solely by the committee.
- (iv) No member of the Club may represent the Club in act or deed, enter into any contract or commit any expenditure on behalf of the Club, without the prior agreement of the committee.
- (v) Members under the age of 16 shall be accompanied by a responsible adult whilst at Club meetings or other events organised by the Club.
- (vi) The Club shall not be responsible for the loss of, or damage to, members property however caused.
- 4. SUBSCRIPTION
- (i) The annual subscription for each class of membership shall be agreed by the members at the Annual General Meeting (AGM).
- (ii)The annual subscription is due at the first club meeting of the new season and should be paid within one calendar month.
- 5. OFFICERS AND MANAGEMENT
- (i) The affairs of the Club shall be managed by a committee comprised of officers and members.
- (ii)The officers and members shall be elected at the AGM and stand for one year. The officers of the Club shall be:
- (a) Chairman
- (b) Vice Chairman
- (c) Secretary
- (d) Treasurer
- (e) Competition Secretary
- (f) Assistant Competition Secretary
- (g) Publicity Secretary
- (h) SAPA Representative
- (i) Programme Secretary
- (j) Webmaster
- (iii) The committee shall have a minimum of two and a maximum of three other members.
- (iv) A quorum of the committee shall consist of six members of which five shall be officers.
- (v) Only members of the Club may become members of the committee and their membership of the committee shall cease if the individual ceases to be a member of the Club.
- (vi) The committee shall run the club in accordance with the objectives of the Club and other requirements as set down in this constitution.
- (vii) The committee may agree rules and guidelines as may be required to efficiently run the Club.
- (viii) The committee may elect a President. The individual, on confirming their acceptance of the position, shall remain President until they either resign or a new President is elected. The President is not a member of the committee but has the same voting rights as a full member of the Club.
- 6. MEETINGS
- (i) An AGM shall be held in May of each Year.
- (ii) The committee shall call, within twenty one days, an Extraordinary General Meeting (EGM), on the request of not less than five members.
- (iii) All members shall be notified not less than seven days in advance of such meetings.
- (iv) Meeting shall be chaired by the Club Chairman, or in their absence, by any other committee member nominated by the Chairman.
- (v) Any decisions taken by the members at a meeting shall be by a simple majority of the members present at the meeting. The Chairman will not normally have a vote but will have a casting vote if there is no simple majority.
- 7. FINANCE
- (i) All Club monies shall be paid to and disbursed by the Treasurer.
- (ii) Club monies shall be held in a Bank and/or Building Society account in the name of the Club.
- (iii) The committee shall approve all expenditure in advance, apart from general club running expenses. No expenditure on behalf of the Club can be committed without there being sufficient Club funds to cover the expenditure.
- (iv) The Treasurer shall submit verified accounts for the year ending 31 March at the AGM.
- 8. CLUB PROPERTY
- Property purchased, or held, on behalf of the Club will be held in trust for the benefit of the members of the Club.
- 9. CHANGES TO THE CONSTITUTION
- No alterations to the constitution shall be made except at the AGM or an EGM.
- 10. DISSOLUTION OF THE CLUB
- (i) Any decision to dissolve the Club can only be taken at an AGM or EGM
- (ii) After discharging all debts and liabilities of the Club, the remaining assets are to be given or transferred to a non-profit organisation having similar objectives to those of the Club or to a charity approved by the remaining membership.
